www.subjectmoney.com http A negotiable instrument is a financial document or contract which shows the debt of one party to another. It specifies a payment, specifies and describes the payee, and can be changed through transfer to a third party (holder in due course) and valid negotiation. Types of negotiable instruments are drafts, checks (most common), substitute checks, notes and certificates of deposits. A negotiable instrument can be conveyed as holding value by the holder because it is a promise of payment in the future. The value that it holds may be less than the face value because its present value is adjusted for interest rates. This adjustment is known as discounting in finance and is a method used to find the present value of a financial instrument. Therefore, a negotiable financial instrument can be transferred for a price less than its face value (future value). Under United States law, Article 3 of the Uniform Commercial Code governs the use of negotiable instruments. Article 3 gives instruments a high degree of marketability by making the transferees immune the legal defenses that may be used by the liable party. When a negotiable instrument is transferred to a third party, this party is known asthe holder in due course. The rights of the holder of due course are qualitatively superior to those of the original holder of the instrument.
